1. Agreement Scope

These Terms of Service ("Terms") govern the business relationship between KRISH AGRO (a Partnership Firm registered in West Bengal, GSTIN: 19ABDFK7639P1ZG) and buyers purchasing bulk agricultural commodities. By placing an order, you agree to these Terms.

2. Business Model

• B2B Only: We supply agricultural commodities to industrial buyers, not retail consumers
• Minimum Order Quantity (MOQ): As specified for each product (typically 5-100 MT)
• Target Customers: Food processors, oil mills, feed manufacturers, exporters, institutional buyers
• Products: Bulk rice, pulses, oilseeds, spices, feed ingredients, and food processing raw materials

3. Order Process

3.1 Quotation and Inquiry

• Prices quoted on website are indicative and subject to change based on market conditions
• Final prices confirmed via formal quotation after RFQ (Request for Quote) submission
• Quotations valid for 7 days unless otherwise specified

3.2 Order Confirmation

• Orders confirmed via purchase order or written agreement
• Order acceptance subject to product availability and credit verification
• We reserve the right to reject orders that do not meet our business criteria

4. Pricing

• Prices in Indian Rupees (INR) per quintal or per metric ton
• Subject to market fluctuations and seasonal availability
• Bulk discounts available based on order volume
• GST applicable as per prevailing rates
• Export prices: FOB/CIF terms negotiated separately

5. Payment Terms

5.1 New Customers

• 50% advance payment before order processing
• 50% balance before delivery/dispatch
• Payment via bank transfer (NEFT/RTGS/IMPS)

5.2 Verified Customers (Credit Terms)

• NET 15 or NET 30 days credit available after verification
• Subject to credit assessment and GSTIN verification
• Requires business references and banking relationship
• Credit limit assigned based on business profile

5.3 Export Orders

• Letter of Credit (LC) preferred
• Telegraphic Transfer (TT) with advance payment
• CAD (Cash Against Documents) for verified international buyers

6. Quality Standards

• Products supplied as per specifications stated in quotation/order
• Grading based on APMC/FSSAI/export standards
• Quality parameters include moisture, purity, grade, and appearance
• Samples available for quality verification before bulk orders
• Third-party testing accepted for quality disputes

7. Delivery Terms

• Processing Time: 48-72 hours for order confirmation and loading
• Domestic: 3-10 days based on location
• Export: Based on shipping terms (FOB/CIF)
• Delivery Charges: Included or separate as per agreement
• Unloading: Buyer's responsibility unless specified

8. Force Majeure

We are not liable for delays or failures due to circumstances beyond our control, including:

• Natural disasters (floods, droughts, cyclones)
• Crop failure or agricultural procurement issues
• Transport strikes, fuel shortages, or logistical disruptions
• Government regulations, export bans, or trade restrictions
• Pandemic, war, or civil unrest

9. Liability Limitations

• Our liability limited to replacement or refund of defective goods (within policy terms)
• Not liable for indirect, consequential, or incidental damages
• No liability for losses due to buyer's storage, handling, or usage after delivery
• Maximum liability not to exceed invoice value of the specific order

10. Intellectual Property

• KRISH AGRO name, logo, and website content are our property
• Product images and descriptions for reference only
• Unauthorized use of our intellectual property prohibited

11. Dispute Resolution

• Good Faith Negotiations: Disputes resolved amicably first
• Arbitration: As per Indian Arbitration and Conciliation Act, 1996
• Jurisdiction: Courts of North 24-Parganas, West Bengal have exclusive jurisdiction
• Governing Law: Indian laws, including Contract Act, Sale of Goods Act, APMC regulations

12. Prohibited Activities

Buyers must not:

• Misrepresent business identity or provide false GSTIN/PAN
• Engage in fraudulent transactions or payment defaults
• Resell products claiming false origin or quality
• Use our information for competitive intelligence or unauthorized purposes

13. Termination

• Either party may terminate business relationship with written notice
• Outstanding payments and pending orders to be settled before termination
• We reserve the right to suspend services for non-payment or breach of terms

14. Regulatory Compliance

Buyers must comply with:

• GST regulations and tax obligations
• Food safety standards (FSSAI) if applicable
• Import regulations (for export orders)
• Agricultural trading licenses and permits

15. Amendments

We may update these Terms periodically. Continued use of our services after changes constitutes acceptance of new terms. Major changes will be communicated via email.
